Why does LTA require a submission of Board's Resolution from companies and when did this start?
Previously, we required the presentation of the original vehicle logcard, the ACRA printout of your company's details and one of your Director's NRIC at LTA before we will process any transfer or de-registration transactions. With the launch of the new e-Services@ONE.MOTORING on 28 Feb 2006, LTA has gone scripless and do not require the logcard to be submitted anymore for transfers and de-registration applications. We have also created user accounts for vehicle owners to login to their own accounts to manage their vehicles and also to make various applications online, such as apply for de-registration and in future, to apply for Transaction PIN online.
To protect the interest of vehicle owners, it is important that proper authorisation from your company is obtained before LTA releases important information, such as the password to your company's user account, or a Transaction PIN that would enable a vehicle belonging to your company to be transferred or de-registered, or a PARF/COE rebate transferred or divided.
For companies, just any one director is not legally entitled to represent the company. A proper authorisation needs to be made through a Board's Resolution in accordance with the Company Act, and executed according to your company's Memorandum & Articles of Association. This is the reason why LTA requires the Authorisation from the Board, i.e. the Board's Resolution, to appoint an authorised person to carry out these transactions on the company's behalf and to sign on the application form as well as the authorised person's NRIC (Singaporean, Singapore PR or Malaysian) or Passport (foreigner other than Malaysian) for transactions relating to your user account (eg. Immediate password reset) and those which relates to transferring or de-registering of your vehicle (including request for and reset of Transaction PIN at LTA counter, transfer and de-registration of vehicle, as well as transfer and division of rebates at LTA counters.)
The authorisation from the Board could be obtained during a meeting or through circulation. The authorisation from the Board should state clearly the name and NRIC of the authorised person, transaction types and what the authorisation is expressly for, etc. Hence, depending on the authorisation granted by the Board or Partners (in the case of a business), it can be used for multiple transactions or it could be expressly for a particular transaction.
